These Terms of Service («Terms») govern your use of the FX SERM website at fx-serm.com(«Website») and any services provided by FX SERM («we,» «us,» «our»). By accessing this Website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use this Website or our services.
1. Services Overview
FX SERM provides online reputation management (ORM), search engine reputation management (SERM), generative engine optimization (GEO), review platform management, Reddit and community management, brand monitoring, digital PR, and related digital trust services for Forex brokers, FinTech companies, Crypto exchanges, and high-risk digital brands. The specific scope, deliverables, timeline, and pricing for each engagement are defined in individual service agreements or statements of work («Service Agreement») executed between FX SERM and the client.
2. Service Agreements and Scope
No service obligation arises from inquiry, proposal, or audit alone. A binding engagement commences only upon execution of a Service Agreement and receipt of payment as specified therein. The Service Agreement defines the specific scope of work, timeline, reporting structure, payment terms, and any applicable KPIs. FX SERM reserves the right to decline or terminate engagements that conflict with our ethical standards or operational capacity.
3. Payment Terms
Payment terms are specified in each Service Agreement. Standard terms: monthly retainer engagements are invoiced monthly, due within 7 days of invoice date. Audit and one-time project engagements require 100 percent advance payment unless otherwise agreed. Late payments may result in suspension of work. All fees are exclusive of applicable taxes. FX SERM does not provide refunds for completed work or for subscription periods already commenced, except where required by applicable law or as explicitly agreed in the Service Agreement.
4. Confidentiality and NDA
All client engagements are subject to mutual non-disclosure. FX SERM treats all client information — including company identity, project details, strategy, data, and communications — as strictly confidential. We do not disclose client relationships or project specifics without explicit written consent. Clients agree to treat FX SERM proprietary methodologies, frameworks, and reporting structures as confidential. Confidentiality obligations survive termination of the engagement for a period of five years.
5. Deliverables and Intellectual Property
Work product produced by FX SERM under a Service Agreement — reports, content, strategy documents, and roadmaps — is delivered to the client upon completion of the relevant scope and payment. Unless explicitly agreed otherwise in writing, FX SERM retains the underlying methodologies, templates, and frameworks used to produce deliverables. Content created specifically for the client and fully paid for becomes client property upon delivery. FX SERM does not retain rights to use client-specific content without written permission.
6. Compliance and Ethical Standards
FX SERM operates in compliance with applicable platform terms of service, including Trustpilot review platform policies and FTC Consumer Review Fairness Act (2024 Final Rule) requirements. We do not engage in: creation of fake or fabricated reviews, review suppression or manipulation that violates platform terms, black-hat SEO practices that violate Google Webmaster Guidelines, or any other practices that constitute deceptive reputation management. Clients engaging FX SERM for review management services confirm that they will not request or encourage non-compliant review practices. Engagements that would require non-compliant practices will be declined or terminated.
7. No Guarantee of Specific Results
FX SERM provides reputation management services based on industry best practices, strategic expertise, and current platform and search engine behavior. We do not guarantee specific search rankings, review ratings, AI response outcomes, or conversion rate improvements. Digital reputation is influenced by factors outside our control, including platform algorithm changes, competitor actions, client-side business decisions, and broader market developments. Our commitment is to professional, strategic execution — not to specific numerical outcomes that cannot be contractually guaranteed.
8. Client Responsibilities
Clients are responsible for: providing accurate information about their business, regulatory status, and reputation history at the outset of engagement; complying with all applicable laws and regulations governing their business operations; not taking actions that contradict or undermine the reputation strategy being implemented; maintaining confidentiality of strategy and access credentials shared by FX SERM; and promptly communicating material developments that may affect reputation strategy (regulatory events, significant business changes, crisis events).
9. Limitation of Liability
To the maximum extent permitted by applicable law, FX SERM total liability to any client for any claim arising from or related to our services shall not exceed the total fees paid by that client in the three months preceding the claim. FX SERM is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or business interruption, even if we have been advised of the possibility of such damages. This limitation applies to all causes of action, whether in contract, tort, or otherwise.
10. Termination
Either party may terminate a monthly retainer engagement with 30 days written notice. FX SERM may terminate an engagement immediately for: material breach of these Terms or the Service Agreement, non-payment, request to engage in non-compliant practices, or circumstances that make continued engagement impractical or unethical. Upon termination, FX SERM will deliver completed work product for which payment has been received. Fees for work in progress at the time of termination will be prorated to the termination date.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of Poland (primary operational jurisdiction). Any disputes arising from these Terms or service engagements will be resolved first through good-faith negotiation, and if unresolved, through binding arbitration or the courts of [JURISDICTION TO BE DETERMINED BY LEGAL COUNSEL]. Nothing in this clause prevents either party from seeking emergency injunctive relief.
12. Website Use
This Website is provided for informational purposes. You may not use this Website to: engage in any activity that violates applicable law, transmit malware or harmful code, attempt to access systems or data without authorization, or misrepresent your identity or affiliation. We reserve the right to restrict access to any user for any reason.
13. Changes to These Terms
We may update these Terms. Material changes will be communicated to active clients by email. The current version is always available at fx-serm.com/terms-of-service. Continued use of services after changes constitutes acceptance.
